Terms of Service

Welcome to Borehole. These Terms of Service ("Terms") govern your access to and use of the Borehole website, services, and applications (collectively, the "Service"), operated by Borehole ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of the Service

Borehole provides a peer-to-peer (P2P) file transfer utility that allows users to send and receive data directly between devices.

  • Direct Transfers: For direct P2P connections, your data flows from device to device and is not stored on our servers.
  • Backup Cloud Routing: If a direct connection cannot be established, Operator-tier users may utilize our fallback routing via Cloudflare's TURN service. This service securely relays end-to-end encrypted data packets to facilitate the connection, but it does not cache, store, or monitor the contents of your files.

2. User Accounts and Tiers

  • Guests (Free Tier): You do not need an account to act as a Guest, but your access is limited to sending to or receiving from an active Operator.
  • Operators (Paid Tier): To become an Operator, you must register for an account and pay the applicable subscription fees. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Acceptable Use Policy

Because Borehole facilitates the transfer of massive files, it is imperative that the Service is not abused. You agree not to use the Service to transfer, share, or distribute:

  • Any material that infringes upon the intellectual property rights, copyright, or trademarks of others.
  • Malware, viruses, ransomware, or any code designed to disrupt, damage, or gain unauthorized access to computer systems.
  • Illegal, harmful, threatening, abusive, or highly objectionable content (including but not limited to child sexual abuse material).

We do not monitor the contents of your transfers. Because all transfers—including those utilizing Backup Cloud Routing—are end-to-end encrypted, we do not have access to the files you send. However, if we receive credible reports of abuse, we reserve the right to immediately terminate your access to the Service.

4. Payments and Subscriptions

  • Billing: Operator subscriptions are billed on a monthly basis. By providing a payment method, you authorize us (via our third-party payment processor, Stripe) to charge your subscription fee automatically.
  • Refunds: All subscription fees and overage charges are non-refundable.
  • Overage Fees: Operator accounts include an allotment of Backup Cloud Routing data (e.g., 200 GB). Exceeding this limit will result in overage charges at the stated rate (e.g., $0.10/GB). Direct P2P transfers do not count against this limit.

5. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or entirely secure.

6. Limitation of Liability

In no event shall Borehole, its directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities.
  • Loss, corruption, or compromise of data.
  • Missed deadlines or damages arising from a failed or interrupted transfer.

Your sole and exclusive remedy for dissatisfaction with the Service is to stop using the Service and cancel your subscription. In no event shall our total liability to you for all damages exceed the amount you paid us in the past twelve (12) months.

7. Indemnification

You agree to indemnify, defend, and hold harmless Borehole from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your use of the Service or your violation of these Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pennsylvania, United States, without regard to its conflict of law principles.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify Operators of significant changes via the email associated with their account. Continued use of the Service after changes constitute your acceptance of the new Terms.
